Governance Review
A focused engagement for Thai companies and their boards that would like a considered outside reading of their governance arrangements. The review covers board composition, committee structures, meeting discipline, and the documentation that supports decisions between meetings.
Drawing on conversations with board members and senior management, the review returns a written memorandum with observations and questions for the board to discuss. Often appropriate for family firms approaching a succession, or firms considering listing or outside investment.

Conducted collaboratively with the chair and company secretary, the output is designed to support a reflective conversation among members — on roles, information flow, agenda setting, and decision approaches — rather than to prescribe a template.

The partnership includes quarterly in-depth sessions, written correspondence between meetings, and quiet support for specific matters — a succession planning conversation, the onboarding of an independent director, or the formation of a new committee. The tone is that of a thoughtful counterpart, offering considered perspective rather than prescriptive direction.

Shared standards across all engagements
Strict Confidentiality
All conversations and documents are treated as confidential. No information from any engagement is shared with or referenced in any other engagement.
Written Engagement Letter
A written engagement letter, agreed by both parties before work begins, sets out scope, fee, timeline, and the process for concluding the engagement if needed.
Senior Practitioner Only
All substantive work is performed by a senior member of the practice. No junior staff are assigned to carry an engagement without oversight.
Independence of View
The practice holds no commercial relationship with any third party that would qualify the independence of its advisory observations.
Thai Regulatory Context
Work is conducted with awareness of SEC Corporate Governance Code requirements and SET listing obligations where applicable.
Responsive Communication
Correspondence responded to within two working days. Practitioners available by phone for matters requiring more timely attention.
