Board meeting and governance

§ I — Engagements

Three engagements, each designed to return something genuinely useful.

The work begins from a conversation. Whether you need a focused reading of your governance arrangements or a sustained advisory relationship, the approach adapts to what the situation actually calls for.

§ II — Our Approach

Methodology and working principles

STEP 1

Listen first

Every engagement begins with individual conversations — with the chair, the directors, and the company secretary. Observations follow from what is actually said and seen, not from a checklist.

STEP 2

Review documentation

Board papers, committee minutes, and governance policies are reviewed for what they reveal about the board's actual working practices — not merely whether they exist in standard form.

STEP 3

Return a clear output

Written memoranda and frameworks are in plain English, structured for discussion at a board meeting. Follow-on conversations clarify any questions and support the board in deciding how to proceed.

§ III — Engagement I

Governance Review

A focused engagement for Thai companies and their boards that would like a considered outside reading of their governance arrangements. The review covers board composition, committee structures, meeting discipline, and the documentation that supports decisions between meetings.

Drawing on conversations with board members and senior management, the review returns a written memorandum with observations and questions for the board to discuss. Often appropriate for family firms approaching a succession, or firms considering listing or outside investment.

WHAT IS INCLUDED

  • Individual conversations with board members and management
  • Review of board papers and committee documentation
  • Written governance memorandum with observations
  • Follow-on conversation to clarify findings
  • Structured for board-level discussion

TIMELINE

Board Effectiveness Engagement

§ IV — Engagement II

Board Effectiveness Engagement

An eight-to-ten-week engagement for boards that would like to work more effectively together. The work includes individual conversations with each board member, observation of one or two meetings where helpful, and a written framework for discussion.

Conducted collaboratively with the chair and company secretary, the output is designed to support a reflective conversation among members — on roles, information flow, agenda setting, and decision approaches — rather than to prescribe a template.

WHAT IS INCLUDED

  • Individual conversations with every board member
  • Meeting observation (one or two sessions)
  • Written effectiveness framework for discussion
  • Collaborative sessions with chair and company secretary
  • Follow-up review session at six months (optional)

TIMELINE

Eight to ten weeks, paced to the board's own meeting schedule.

§ V — Engagement III

Board Advisory Partnership

A twelve-month advisory relationship for chairs, lead directors, and company secretaries navigating a sustained period of change in board composition or responsibilities.

The partnership includes quarterly in-depth sessions, written correspondence between meetings, and quiet support for specific matters — a succession planning conversation, the onboarding of an independent director, or the formation of a new committee. The tone is that of a thoughtful counterpart, offering considered perspective rather than prescriptive direction.

WHAT IS INCLUDED

  • Quarterly in-depth advisory sessions
  • Written correspondence on specific matters
  • Support for succession conversations
  • Independent director onboarding support
  • Committee formation guidance

TERM

Twelve months, renewable annually. Fees payable quarterly.

§ VI — Comparison

Choosing the right engagement

The table below may help clarify which engagement could be a reasonable fit for your board's current circumstances.

Feature / Circumstance Governance Review Board Effectiveness Advisory Partnership
Approaching succession or investment
Directors unclear on their respective roles
Chair needs ongoing advisory support
Governance quick health-check
Sustained period of board change
New independent director onboarding
Fee 10,700 THB 68,900 THB/yr

If you are uncertain which engagement may be right, an initial conversation — with no obligation — may help clarify the situation.

§ VII — Professional Standards

Shared standards across all engagements

Strict Confidentiality

All conversations and documents are treated as confidential. No information from any engagement is shared with or referenced in any other engagement.

Written Engagement Letter

A written engagement letter, agreed by both parties before work begins, sets out scope, fee, timeline, and the process for concluding the engagement if needed.

Senior Practitioner Only

All substantive work is performed by a senior member of the practice. No junior staff are assigned to carry an engagement without oversight.

Independence of View

The practice holds no commercial relationship with any third party that would qualify the independence of its advisory observations.

Thai Regulatory Context

Work is conducted with awareness of SEC Corporate Governance Code requirements and SET listing obligations where applicable.

Responsive Communication

Correspondence responded to within two working days. Practitioners available by phone for matters requiring more timely attention.
