How does the Governance Review differ from the Board Effectiveness Engagement?

The Governance Review is a contained, diagnostic reading — it returns a written memorandum with observations and questions for discussion. The Board Effectiveness Engagement is a longer, more collaborative process that works alongside the chair and company secretary over several weeks, and concludes with a framework the board can use to hold its own reflective conversation.

What does the Advisory Partnership involve on a day-to-day basis?

The relationship is designed to be unobtrusive. Quarterly sessions form the backbone, with written exchanges between them as specific matters arise. The adviser acts as a thoughtful counterpart — available to consider a draft paper, reflect on a delicate situation, or simply provide a second perspective. The pace follows the rhythm of the board's own calendar.

Are engagements conducted in Thai or English?

Work is conducted primarily in English, with written outputs in English. Where conversations benefit from Thai, that can be accommodated. Pricing is in Thai Baht, and the advisory approach is adapted to the context of Thai corporate practice and the SEC's governance framework.

How are fees structured and when are they payable?

Fees for the Governance Review and Board Effectiveness Engagement are fixed and agreed before work begins, with a modest deposit at the start and the remainder on delivery. The Advisory Partnership fee is payable quarterly. All fees are quoted in Thai Baht inclusive of any applicable VAT considerations, and a written engagement letter is provided before any work commences.

How long does a Governance Review typically take?

Most Governance Reviews take three to five weeks from the initial conversations through to delivery of the written memorandum. The timeline is shaped by the availability of board members for individual conversations and the complexity of the company's governance structure.
